INDEPENDENT REPRESENTATIVE AGREEMENT RECITALS A. AmeriTALKS (herein known as the "Company") markets, distributes and sells Company products and services collectively known as "Company Product". B. The Independent Representative (herein known as the "IR") desires to market Company Product on a non-exclusive basis. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements herein contained, and by signing the IR Application the parties hereto agree as follows: 1. RECITALS. The above recitals are true, correct, and incorporated herein by reference. 2. APPOINTMENT. Subject to the terms and conditions set forth in this Agreement, the Policies and Procedures, and the Marketing and Compensation Plan as they are amended from time to time (herein known as the "Entire Agreement"), the Company hereby appoints the IR as an authorized Representative of Company Product for the sale and distribution of Company Product under the Terms as defined herein. The IR hereby accepts this appointment and agrees to make all sales of Company Product in accordance with this Agreement. 3. APPLICATION INFORMATION. The information contained in the application is complete and true. The IR is at least 18 years of age. The IR understands this Agreement is part of the IR Application and is binding as an IR for the Company. 4. SCOPE OF IR AGREEMENT. This IR Agreement is only part of the full Agreement the IR is entering into with Company. The full agreement consists of this IR Agreement, the Company's Policies and Procedures Manual, and the Marketing and Compensation Plan as they are amended from time to time by the Company or as market conditions may require. 5. DUTIES AND OBLIGATIONS OF THE IR AND THE COMPANY. a. The IR hereby agrees to use his/her best efforts to actively and aggressively market, promote and distribute Company Product in accordance with the Company's established marketing programs; b. The IR shall only use sales and marketing materials authorized in writing, or provided by the Company in connection with the IR's marketing, promotion and sales of Company Product; c. The IR shall make no representations or warrantees concerning Company Product other than as authorized by the Company. d. The IR hereby agrees that he has not paid a franchise, processing or any other fee in order to become an Independent Representative with the company. e. The IR understands that he/she is not an employee of the Company for federal, state or local tax purposes. The IR will be responsible for filing all returns and reports required by state and federal taxing authorities, including income and self employment taxes as necessary. f. The term of the Independent Representative Agreement is one year from the date of its acceptance by AmeriTALKS. Independent Representatives must renew their Independent Representative Agreement each year by responding to company communications via fax, email, or written mail request requesting renewed acceptance of Company's Policies and Procedures / Marketing and Compensation Plan within 30 days after the anniversary date of their Independent Representative Agreement. If the renewal acceptance is not made within 30 days after the expiration of the current term of the Independent Representative Agreement, the Independent Representative Agreement will be terminated. g. Company reserves the right, in it's sole discretion to amend revise, institute, alter or modify changes including but not limited to: prices, literature, policies, this agreement, vendors, products and services, and the compensation plan. h. Company shall not be responsible for acts beyond its control, including but not limited to: fire, flood, earthquake, storms, power outages, labor difficulty, equipment failure, supplier problems, or other difficulties that might prevent Company from performing according to this agreement. i. The IR understands that any violation of any Company Policies and Procedures as modified or amended from time to time or that any violation of the terms of this Agreement will result in termination of this Agreement with the Company. Said IR will lose all rights to bonuses and compensation from the date of termination and thereafter. This Agreement may be cancelled by Company for cause. The IR understands that he/she may cancel his/her position as an IR with the Company at any time by written notice to the Company at which time all materials, supplies or leads will be returned to the Company. Cancellation by either party will negate all obligations between the two parties. j. The IR agrees to indemnify and to hold Company harmless from any and all claims, damages and expenses, including attorney fees arising out of actions and any conduct in violation of this agreement. k. Furthermore all new customers must be submitted with completed agreements and any applicable setup or activation fees, by Internet online enrollment methods. l. All forms must be properly filled out and signed where necessary by authorized signers/customers or via internet signup at the official company website in order to qualify for commissions. Commission checks will only be issued when monies due to Rep are a minimum of $50.00 or more and will be paid on a weekly basis. m. Any "entity" applications/Agreements with Company must be agreed to by the individual or an officer, partner, owner of the company, or trustee of a trust that will be making this agreement and therefore assuming responsibility for the actions of the IR in the performance of this Agreement. The individual or legal entity making this Agreement must also provide a Social Security or Federal I.D. number to Company for proper filing of 1099 or any other necessary IRS forms for tax purposes. n. Independent Representatives must adhere to the terms of the AmeriTALKS Marketing and Compensation Plan as set forth in official AmeriTALKS literature. Independent Representatives shall not offer the AmeriTALKS opportunity through, or in combination with, any other system, program, or method of marketing other than that specifically set forth in official AmeriTALKS literature. Independent Representatives shall not require or encourage other current or prospective Customers or Independent Representatives to participate in AmeriTALKS in any manner that varies from the program as set forth in official AmeriTALKS literature. Independent Representatives shall not require or encourage other current or prospective Customers or Independent Representatives to execute any agreement or contract other than official AmeriTALKS agreements and contracts in order to become an AmeriTALKS Customer or Independent Representative. Similarly, Independent Representatives shall not require or encourage other current or prospective Customers or Independent Representatives to make any purchase from, or payment to, any individual or other entity to participate in the AmeriTALKS Marketing and Compensation Plan other than those purchases or payments identified as recommended or required in official AmeriTALKS literature. o. Independent Representative agrees that he/she has read this agreement and fully understands and agrees to the terms and conditions set forth herein between Company and Independent Representative. Independent Representative further agrees that this Agreement, in conjunction with the Policies & Procedures Manual and the Marketing & Compensation Plan as they are amended from time to time (herein known as the "Entire Agreement") is the entire agreement between Company and the Independent Representative and that there are no verbal contracts other than contained herein. p. One IR Business Per Independent Representative An Independent Representative may operate or have an ownership interest, legal or equitable, as a sole proprietorship, partner, shareholder, trustee, or beneficiary, in only one independent AmeriTALKS IR position. No individual may have, operate or receive compensation from more than one AmeriTALKS IR position. Stacking is expressly prohibited. An IR may not personally sign him/herself up for service under his/her own IR number. The spouse of an Independent Representative is considered to be part of the Independent Representatives business and is thereby precluded from holding his/her own position as an Independent Representative. q. Advertising. All Independent Representatives shall safeguard and promote the good reputation of AmeriTALKS and its Products. The marketing and promotion of AmeriTALKS, the AmeriTALKS opportunity, the Marketing and Compensation Plan, and AmeriTALKS products and services shall be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct or practices.To promote both the products and services, and the opportunity AmeriTALKS offers, Independent Representatives must use the sales aids and support materials produced by AmeriTALKS. AmeriTALKS has carefully designed its products, product labels, Marketing and Compensation Plan, and promotional materials to ensure that each aspect of its marketing is fair, truthful, substantiated, and complies with the vast and complex legal requirements of federal and state laws. If AmeriTALKS Independent Representatives were allowed to develop their own sales aids and promotional materials (which includes Internet advertising), notwithstanding their integrity and good intentions, the likelihood that they would unintentionally violate any number of statutes or regulations affecting a AmeriTALKS IR position is almost certain. These violations, although they may be relatively few in numbers, would jeopardize the AmeriTALKS opportunity for all Independent Representatives. Accordingly, Independent Representatives must not produce their own literature, advertisements, sales aids and promotional materials, or Internet web pages.Except as provided in this section, Independent Representatives may not use or transmit unsolicited faxes, mass e-mail distribution, unsolicited e-mail, or "spamming" relative to the operation of their IR businesses. The terms "unsolicited faxes" and "unsolicited e-mail" mean the transmission via telephone facsimile or electronic mail, respectively, of any material or information advertising or promoting of AmeriTALKS, its products, its Marketing and Compensation Plan or any other aspect of the company which is transmitted to any person, except that these terms do not include a fax or e-mail: (a) to any person with that person's prior express invitation or permission; or (b) to any person with whom the Independent Representative has an established business or personal relationship. The term "established business or personal relationship" means a prior or existing relationship formed by a voluntary two-way communication between an Independent Representative and a person, on the basis of: (i) an inquiry, application, purchase or transaction by the person regarding products offered by such Independent Representative; or (ii) a personal or familial relationship, which relationship has not been previously terminated by either party; (iii) faxes or emails which are forwarded to others by one of the above individuals.If an Independent Representative desires to utilize an Internet web page to promote his or her business, he or she may do so by placing a link to the company's official web site or any of its pages or by using official AmeriTALKS templates as provided at no cost to the Independent Representative. r. Conflicts of Interest / Non-solicitation - AmeriTALKS Independent Representatives may participate in another direct selling, network marketing or multilevel marketing venture (collectively "marketing"), and Independent Representatives may engage in selling activities related to non-AmeriTALKS products and services if they desire to do so. However, if an Independent Representative elects to participate in another opportunity, in order to avoid conflicts of interest and loyalties, Independent Representatives are prohibited from recruiting existing AmeriTALKS customers or Independent Representatives and further: a) Selling, offering to sell, or promoting any competing non-AmeriTALKS products or services to AmeriTALKS customers or any product or services in the same generic category as a AmeriTALKS products or services is deemed to be competing and is not allowed; or b) Offering AmeriTALKS products or services, or promoting the AmeriTALKS Marketing and Compensation Plan, in conjunction with any non-AmeriTALKS products, services, business plan, opportunity, or incentive; or c) Offering any non-AmeriTALKS products, services, business plan, opportunity, or incentive at any AmeriTALKS meeting, seminar, launch, convention, or other AmeriTALKS function, or immediately following such event is not allowed. s. Severability. Should it be found that any one of the terms of this Agreement are found to be unlawful the remainder of this agreement will continue in full force. t. I also acknowledge that if it is determined either now or in the future that this signup process was completed fraudulently that the Independent Representative Agreement will be considered null and void and that any commissions due will be forfeited.
